甲方因与
审事宜，根据我国《合同法》、《法》等有关规定，聘请乙方作为委托代理人。
Onthebasisoftheregulationsof
LawofContractandLawofAttorneyofPRC,partyAretainparty
B’slawyerasanattorneyforlitigationofthelawsuit
甲乙双方按照信用原则，经协商一致，立此合同，共同遵守。
Bytheprincipleoffaithfulnessand

1、乙方委派
作为甲方委托代理人，甲方同意述安排其业务助理配合完成辅助工作；

attorney.
2、代理不得违反《职业》，在涉及甲方对抗性案件中，未经甲方同意，不得同时担任与甲方具有利益冲突另一方委托代理人；

Oupation,withouttheagreementofpartyAtheattorneyshouldn’t
simultaneouslyactastheagentoftheoppositesidewhichis
conflictingwithpartyAinlegally.
3、代理对其获知甲方商业机密/或者甲方个人隐私负有保密责任，非由规定或者甲方同意，不得向任何第三方披露；

privacy.WithoutthepermissionoflawortheagreementofpartyA,
theattorneyshouldn’tthrowdaylightonsecrettoanythird
party.
4、甲方指定
为乙方联系人，负责转达甲方指示和要求，提供文件和资料；甲方应当真实、详尽和及时地向乙方叙述案情，提供与委托代理事项有关证据、文件及其他事实材料；

5、甲方认为代理工作不尽责或有违反代理合同行为，应及时书面告知乙方，也可书面要求乙方更换代理；

attorneywithouttryingbesttotakeresponsibilityorhavingthe
actofdisobeyingthiscontract,partyAshouldnotifypartyBby
writingintime,andcouldrequirepartyBtochangeattorneyagent
bywritingalso.
6、经双方协商同意，甲方按照如下约定向乙方支付费用：
6.1本合同签订后一周内甲乙方首次一次性支付币15万元（壹拾伍万元），由乙方出具发票；
执行提成:在执行回款一个月内,甲方将扣除已经支付案件诉讼费用之后执行回款40%提成给乙方。
甲方扣除费用指是从法院执行回款中扣除本案二审相关费用，包括诉费、首次费、调费、鉴定费、旅差费和法院执行费。
乙方代理工作为：甲方二审诉讼代理及判决后执行代理。
6．BynegotiationbetweenPartyAandPartyB,both
partiesreachtheagreementonpaymentofattorneyretainingfeeas
bellow:
6.1Withinoneweekafterthe
contractsigned,PartyAwillpaythelump-sumpaymentof150,000
yuanRMBtoPartyBasthefirstattorneyretainingfee.PartyB
willcomeoutinvoicetoPartyAafterreceivingthe
payment.
6.2Proportionatepaymentfromthe
amountofmoneybytheenforcementofcourt:withinonemonthafter
theenforcementofcourtfinished,PartyAwillpay40%netamount
fromtheenforcementofcourttoPartyB.
Thenetamountofcourt’senforcement
meansthattheremainafterdeductingthefeesoftrialofsecond
instancewhichincludingappealfee,firstpaymentofattorneyfee,
investigationfee,identificationfee,travelfeeand
enforcement.
ThecommissionofPartyBisthe
agencyattorneyofsecondtrialandtheworksofenforcementby
adjudicatebycourt.

8、代理没有为甲方提供本合同规定服务或者违反本合同规定，经乙方确认，甲方有权要求乙方退还部分或者全部已付代理费。乙方因工作失职、失误导致甲方蒙受损失，乙方应当向甲方承担赔偿责任；

regulationofthiscontract,aftergettingpartyB’sconfirmation,
partyAhastherighttorequirepartyBsendbacksomeoforall
payedchargesofattorney.Iftheattorneybreachesdutyandmakes
mistakeswhichcauselossesofpartyA,partyBshouldundertake
theresponsibilityofcompensation.
9、因甲方过错给乙方或者案件本身造成损失由甲方承担全部责任；
9．DuetopartyA’sfaultswhichbringonlossesof
partyBortheentrustedcase,alltheresponsibilitiesshouldbe
takenonbypartyA.
10、甲乙双方如果发生争议，应当友好协商解决。如协商不成，任何一方均有权向有管辖权法院起诉；
Ifthereisdisputebetween
partyAandpartyB,twopartiesshoulddiscussandsettleit
friendly.Ifthedisputecouldnotbesettled,eitherpartywill
haveright
toprosecutetothepeople’scourtwhichhasajurisdictionofthe
matter.
11、本合同正本壹式叁份，甲方、乙方和代理各执壹份，自本合同签定之日起生效，至乙方完成甲方所委托代理事项为止。
Triplicationoforiginalcopiesof
thiscontract.OnecopyforpartyA,onecopyforpartyB,andone
copyfortheentrustedattorney.Thiscontractbecomeeffectiveonthe
dayofautograph.Thecontractwillbeendwhenalltheentrusted
